The lawsuit challenging the legality of the Tribune “going private” transaction opens today, and if you haven’t already read it, you should. It is, in my humble opinion, one of the best written suits I have ever seen.
Here’s my favorite passage:
To accomplish his plan, Zell enticed members of the Board of
Directors of the Tribune Company and aided and abetted Dennis J. FitzSimons, among others, in breaching their fiduciary duties by paying them millions of dollars.
